12. 不可抗力

Force Majeure

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. 4.不负责自筹编制人员工资、劳保、福利、医疗、社会保险、养老等费用及住房等事宜。

（二）乙方的责任、权利、义务

1.负责自筹编制人员的日常管理。

2.乙方应统一对甲方办理委托有关事宜。自筹编制人员个人到甲方办

办理手续时，乙方应为其出具证明或介绍信。

3.聘用合同终止或解除后，乙方应于10日内书面通知甲方，并出具考核鉴定及人事归档材料，结清自筹编制人员管理服务和人事代理费及社会保险费等。自筹编制人员应于20日内持书面通知到甲方办理转代理机构手续，无故不办或逾期的，甲方将其转代理机构，乙方与甲方保留对自筹编制人员违约责任追究的权利。

4.每年_________月_________日前向甲方缴纳自筹编制人员管理服务和人事代理费每人_________元／月（随标准提高增加）。逾期不缴视为滞纳，按日加收3‰－5‰的滞纳费。

5.乙方与自筹编制人员续签合同应提前30日办理有关手续，并于合同期满_________日前将续签合同报甲方一份。逾期不报视为合同自行终止。甲方将自筹编制人员关系转代理机构。

6.负责自筹编制人员工资、劳保、福利、医疗（按乙方规定）、社会保险（单位承担部分）费用及其他有关费用，负责未实行人事代理和未实行养老保险人员的退休费及其他费用。

三、本协议未尽事宜由双方协商解决。

四、本协议自双方签字之年月起生效。

11.2 若乙方在*月内未能向甲方提供至少**订货，甲方不承担本协议的义务。

11.3 本协议受签约双方所签订的销售确认条款的制约。
