（以下简称合伙企业）于20xx年x月x日在xxxxx设立，出资总额为人民币xx万元。其中，甲方占%出资额，甲方愿意将其占合伙企业xx%的出资额转让给乙方，乙方愿意受让。现甲乙方根据《中华人民共和国合伙企业法》和《中华人民共和国合同法》的规定，经协商一致，就转让出资事宜，达成如下协议：

一、出资转让的价格及转让款的支付期限和方式：

1、甲方占有合伙企业xx%的出资，根据原合伙企业合伙人协议规定，甲方应出资人民币xx万元，实际出资人民币xx万元。现甲方将其占合伙企业xx%的出资额以人民币xx万元转让给乙方。

2、乙方应于本协议书生效之日起x日内按前款规定的币种和金额将股权转让款以现金（或银行转帐）的方式分x次（或一次性）支付给甲方。

二、甲方保证对其拟转让给乙方的出资额拥有完全处分权，保证该出资没有设定质押，保证其出资未被查封，并免遭第三人追索，否则甲方应当承担由此引起一切经济和法律责任。

三、有关合伙企业盈亏（含债权债务）分担：

本协议自双方签字之日生效，企业自双方签字之日起15日内到工商机关办理变更登记手续，办理变更登记后，乙方成为上述受让“企业”财产的合法出资者，本协议书生效后，乙方按《中华人民共和国合伙企业法》的规定和合伙人之间的合伙人协议的约定分享合伙企业的利润，分担相应的风险及亏损。

四、违约责任：

1、本协议书一经生效，各方必须自觉履行，任何一方未按协议书的规定全面履行义务，应当依照法律和本协议书的规定承担责任。

2、如由于甲方的原因，致使乙方不能如期办理变更登记，或者严重影响乙方实现订立本协议书的目的，甲方应按照乙方已经支付的转让款的万分之向乙方支付违约金。如因甲方违约给乙方造成损失，甲方支付的违约金金额低于实际损失的，甲方必须另予以补偿。

五、协议书的变更或解除：

甲、乙方经协商一致，可以变更或解除本协议书。经协商变更或解除本协议书的，双方应另签订变更或解除协议书。
